Terms of Service

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Services. The Services are intended for business use only, by individuals and entities operating or seeking to operate a freight dispatch business. TruckIQ TMS is a business-to-business (B2B) service and is not intended for personal, household, or consumer use. By using the Services, you represent that you are using them in connection with a business purpose.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

TruckIQ TMS provides a subscription-based software platform and educational program for freight dispatch businesses, which may include:

• A customer relationship management (CRM) tool with automated daily carrier lead delivery;
• Carrier management tools, including storage of carrier information, documents, and broker packets;
• An in-house electronic signature tool for carrier agreements and related documents;
• Load management and tracking tools;
• Integrated invoicing through Stripe, allowing you to bill carriers and receive payments;
• Educational training courses and masterclasses ("Academy"), including instructional videos, business templates, and resources; and
• An optional custom website design, hosting, and maintenance service.

We may add, modify, or discontinue features of the Services at any time.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current information when creating an account and to update it as needed. Notify us immediately at support@truckiqtms.com if you suspect unauthorized use of your account.

4. Subscription, Billing, and Cancellation

• Billing. The Services are offered on a recurring monthly subscription basis. Your subscription will automatically renew each month unless canceled.
• Payment Processing. All payments are processed through Stripe. By subscribing, you authorize TruckIQ TMS (via Stripe) to charge your designated payment method on a recurring basis until you cancel.
• Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@truckiqtms.com. Cancellation will take effect at the end of your then-current billing period.
• No Refunds. All payments are non-refundable, including partial-month payments. You will continue to have access to the Services through the end of the billing period in which you cancel, but no prorated or partial refunds will be issued.
• Price Changes. We may change subscription pricing at any time. We will provide advance notice of price changes, which will take effect at your next billing cycle.

5. Your Data and Content

5.1 Data You Submit

As part of using the Services, you may input, upload, or store information about your business and the carriers you work with, including contact information, documents (such as W-9 forms and broker packets), load and payment details, and other business records ("Customer Data"). You are solely responsible for the accuracy, legality, and appropriateness of any Customer Data you submit, including any decision to collect or store sensitive information (such as Social Security Numbers or banking details) from carriers or other third parties.

5.2 Your Legal Responsibilities

You represent and warrant that you have all necessary rights and consents to collect, store, and process any information you submit to the Services, and that your use of the Services complies with all applicable laws, including data privacy, consumer protection, and financial recordkeeping laws applicable to your business. TruckIQ TMS does not request or require Social Security Numbers, but our Software may allow you to store such information if you choose to input it; you are responsible for safeguarding and lawfully handling any such data you enter.

5.3 License to Us

You retain ownership of your Customer Data. You grant TruckIQ TMS a limited, non-exclusive license to host, store, process, and display your Customer Data solely as necessary to provide and improve the Services.

5.4 Electronic Signatures

Our in-house e-signature tool is designed to facilitate the collection of electronic signatures from carriers on documents you provide. You are responsible for determining whether a document requires a legally binding signature and whether our tool meets the requirements of applicable law (such as the U.S. ESIGN Act or applicable state UETA laws) for your specific use case. TruckIQ TMS makes no guarantee that any particular document or signature will be deemed legally enforceable in every jurisdiction or circumstance.

6. Third-Party Services

The Services rely on and integrate with third-party providers, including but not limited to Stripe (payment processing), cloud database and file storage providers, and video hosting and communication tools. Your use of these integrated features may also be subject to the applicable third party's own terms of service. We are not responsible for the acts, omissions, or downtime of third-party providers.

7. Academy and Educational Content

• Academy courses, lessons, and video masterclasses are available on-demand in the student portal, subject to change and periodic updates.
• Academy access, templates, and related educational materials are provided for your internal business use only. You may not resell, redistribute, or publicly share our templates, scripts, curriculum, or recordings.
• No Guarantee of Results. As stated throughout our marketing materials: TruckIQ TMS provides educational resources and software tools. We do not guarantee any specific financial success, income level, or business results. Building a successful dispatching business requires hard work, dedication, and active execution. Testimonials and instructor experiences are individual results and are not typical or guaranteed outcomes for any user.

8. Custom Website Service

If you subscribe to a plan that includes a custom website, TruckIQ TMS will design, build, host, and maintain a website for your business based on information you provide. You grant us the right to use business information, logos, and content you provide for the purpose of building and maintaining the site. Unlimited edit requests are subject to reasonable use and our standard turnaround times. If you cancel your subscription, we may take your hosted website offline.

9. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose, including fraud, harassment, or violation of carrier or consumer protection laws;
• Attempt to reverse-engineer, copy, or resell the Software or its underlying code;
• Interfere with or disrupt the integrity or performance of the Services;
• Use automated means to scrape or extract data from the Services beyond normal use;
• Upload malicious code or attempt to gain unauthorized access to other users' accounts or data; or
• Misrepresent your identity or affiliation with any carrier, broker, or business.

We reserve the right to suspend or terminate accounts that violate this section.

10. Intellectual Property

The Services, including all software, templates, curriculum, trademarks, and content provided by TruckIQ TMS, are owned by United Lanes LLC or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for violation of these Terms, non-payment, or any conduct we believe is harmful to TruckIQ TMS, other users, or third parties. Upon termination, your right to use the Services will immediately cease. We may, but are not obligated to, provide you an opportunity to export your Customer Data prior to deletion.

14. Indemnification

You agree to indemnify and hold harmless United Lanes LLC, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party, including any carrier whose information you collect or store using the Services.

15. Dispute Resolution; Binding Arbitration

• Agreement to Arbitrate. You and TruckIQ TMS agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.
• Location. Arbitration will be conducted in Lancaster County, Nebraska, or another mutually agreed location, under the rules of a recognized arbitration provider (such as the American Arbitration Association) in effect at the time the arbitration is initiated.
• Class Action Waiver. You and TruckIQ TMS agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
• Governing Law. These Terms are governed by the laws of the State of Nebraska, without regard to its conflict of laws principles.
• Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@truckiqtms.com within 30 days of first accepting these Terms.

16. Modifications to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (such as by email or an in-app notification). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and TruckIQ TMS regarding the Services.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
• No Waiver. Our failure to enforce any right or provision will not be considered a waiver of that right.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
